This contract was presented to the West Holt Board of Education at the January 10, 2022 regular meeting of the West Holt Public Schools, Dist. 239, Board of Education. This meeting was conducted in the West Holt Public Schools Boardroom at 1000 N. Main St., Atkinson NE at 7:00pm

            THIS CONTRACT, made this 10th day of January, 2022, by and between the West Holt Public Schools, District No. 239 in the County of Holt in the State of Nebraska, (here-in-after called the District) and Paul Pistulka (here-in-after called the Superintendent).


            WITNESS TO: That in accordance with action taken by the Board as recorded in the minutes of the Board meeting held on January 10th, 2022 the Board agrees to employ the Superintendent and the Superintendent agrees to accept such employment subject to the following terms and conditions.


Term of Contract.

The Superintendent shall be employed for a period of two (2) years beginning on the 1st day of July, 2022 and expiring on the 30th day of June, 2024.  The contract shall consist of 245 working days per school year.


            The 2022-23 salary shall be $138,600.  


 The parties hereto agree that the employee shall perform the duties of the superintendent in and for the district as prescribed by the laws of the State of Nebraska, by its written policies, by the rules and regulations made hereunder by the Board of Education and in accordance with such reasonable and lawful directives as the Board of Education may make, not inconsistent with this paragraph.

            In addition to the salary set forth herein above, the Board of Education shall provide the superintendent with all fringe benefits including, but not limited to, health care benefits, leave benefits, and any other benefit described in Board policy, which the district provides for certificated full-time teachers of the district.  It is further agreed by and between the parties that the Board shall pay the Nebraska Council of School Administrator dues during the course of this contract for the superintendent.



Vacation Leave.  The Superintendent shall have twenty-two (22) days of vacation leave, with no more than 5 vacation days to be allowed between the first and last contract day for certificated full-time teachers of the district.  He/She shall make reasonable efforts not to use vacation leave days when such use would interfere with his/her ability to attend Board Meetings or carry out his/her duties as superintendent. Vacation leave may not be carried forward.  Absence of duty during any legal holiday or any school calendar holiday shall not be counted as vacation time against the allotment of the Superintendent’s leave. The Board may require the Superintendent to use his/her vacation days and shall compensate the Superintendent for unused vacation leave upon the conclusion of his/her employment at his daily rate, not to exceed a total of 5 days.  The superintendent shall keep a current record of his leave record with the school bookkeeper.


  1. The salary of the Superintendent shall be payable in 12 equal installments.  The first installment shall be payable on the 20th day of July, 2022, and the remaining installments shall be payable on the 20th day of each month thereafter.


  1. Throughout the term of this contract, the Superintendent shall devote his time, skill, labor, and attention to the position for which he is employed.


  1. The Superintendent hereby affirms that he is not under contract with another School Board or Board of Education within this State covering a part or all of the same time of performance as is contemplated by this contract.  The Superintendent further affirms that at the beginning of the term of this contract, he holds a NEBRASKA ADMINISTRATIVE AND SUPERVISORY CERTIFICATE valid for the position of Superintendent of Schools, which is or will be in full force and effect for the period covered by this contract.  It is understood and agreed that this contract is not valid until the Certificate, as herein listed, is registered in the office of the Superintendent of Schools and the Administrator shall not be compensated for any services performed prior to the date of registration of this certificate.


  1. There shall be no penalty for release or resignation by the Superintendent from this contract; provided no resignation shall become effective until the close of the contract period unless accepted by the Board of Education of the District and the Board shall fix the time at which the resignation is to take effect.


  1. This contract may be canceled by a vote of a majority of the Board of Education pursuant to procedures described by applicable state statute.  Grounds for cancellation of this contract include, but are not limited to, any grounds that constitute just cause as described by 79-12,110 R.R.S., which are: (a) Upon cancellation, termination, revocation, or suspension of a teacher’s certificate, by the State Board of Education, or of the Nebraska Administrative and Supervisory Certificate or the Nebraska Professional Administrative and Supervisory Certificate of any certificated employee whose duties require such a certificate; (b) breach of any of the material provisions of the teacher’s or administrator’s contract; (c) employment contract; (d) incompetency; (e) neglect of duty; (f) unprofessional conduct; (g) insubordination; (h) immorality; or (i) physical or mental incapacity.  If the Board elects not to renew this contract at the end of the contract period for any reason not constitutionally impermissible, any notice of intention to not renew the contract shall be given by the Board to the superintendent not later than the regular January Board meeting next proceeding the applicable date of such proposed non-renewal.  If no notices are given by either party on or before said date (January 31), the contract shall, by its own terms, automatically renew for one additional school year.


  1. It is understood by and between the parties that pursuant to 79-824 et.seq.R.R.S.,that the superintendent is entitled to be evaluated twice during his first year of employment in a manner as prescribed by the attached evaluation document and in the event the superintendent is retained for additional years of employment, at least once annually thereafter.


  1. Attendance at seminars, workshops, state and national conventions, pertinent to school administration or other school business, which attendance is authorized by the Board of Education shall be considered a service day under this agreement.


  1. Upon termination of this contract for any cause, the compensation paid or to be paid hereunder shall be an amount which bears the same ratio to the yearly salary herein specified as the number of days of service to the date of such termination bears to 245 days of service.  Any un-earned fractional portion of an installment paid but not earned prior to termination of the contract shall be refunded by the Superintendent.


  1. The contracting parties agree to conform to the regulations and requirements governing deductions from compensation to be paid Superintendent with reference to withholding tax, Social Security, teachers’ retirement and other deductions authorized by law and this contract shall be deemed to have been entered into subject to all of the provisions of the laws of the State of Nebraska and in the event any part or portion of this contract shall be deemed to be illegal or unlawful, this shall not have the effect of rendering the remainder of said contract invalid.


  1. If the Superintendent does not accept and deliver one signed copy of this contract to the Secretary of the Board of Education of said District on or before January 10, 2022, this contract is null and void.
